Overview
This Seller Agreement (“Agreement”) governs the consignment of a domain name (the “Domain”) by a seller (“Seller,” “you”) to Snagged Domains (“Operator,” “we”) for sale through a Snagged Auctions auction. It supplements the public Auction Terms & Conditions and is countersigned out-of-band for each consigned listing.
2. Title to the Domain
Seller warrants that:
- Seller is the registrant or has documented authority from the registrant;
- the Domain is not subject to any pending UDRP, URS, or registrar dispute;
- the Domain is not subject to any lien, judgment, or competing claim of which Seller is aware; and
- the sale and transfer of the Domain will not infringe any third-party trademark or other right.
3. Pre-Auction Transfer Into Snagged Holding Account
Unless otherwise agreed in writing, Seller will transfer the Domain into the Operator's designated holding account at an ICANN-accredited registrar at least seven (7) days before the auction start. This ensures clean and prompt delivery to the winning buyer via Escrow.com.
4. Reserve Price
Seller may set a confidential reserve price. If the auction closes below the reserve, Seller has no obligation to sell, but agrees to engage in good-faith post-auction negotiation with the highest bidder for ten (10) business days if the Operator facilitates such negotiation.
5. Commission & Fees
- Platform commission: a percentage of the winning bid (typically 10–15%, set in the side letter for each consignment) is payable to the Operator and deducted from Escrow.com proceeds at release.
- Escrow.com fees: by default split 50/50 between buyer and seller unless otherwise specified on the listing.
- Marketing fees, if any, are disclosed in the side letter before the listing goes live.
6. Exclusivity
During the period from listing to thirty (30) days after auction close (the “Exclusivity Period”), Seller will not offer the Domain for sale, transfer, license, lease, or option to any third party outside of the Snagged process.
7. Listing Content
Seller authorizes the Operator to publish the Domain name, description, screenshots, traffic and revenue data (if provided), and any agreed marketing assets. Seller warrants that all such materials are accurate and non-infringing.
8. Auction Conduct
Seller may not bid (directly or indirectly) on Seller's own Domain, solicit shill bids, or otherwise interfere with bidding. Any such conduct is a material breach.
9. Seller Default
If after an auction closes at or above reserve Seller fails to (a) cooperate with the Escrow.com process or (b) deliver the Domain to the buyer through an ICANN-accredited registrar within fifteen (15) business days, Seller is in default. Liquidated damages of the greater of (i) 15% of the winning bid or (ii) US$5,000 are payable to the Operator (to compensate Operator's costs and protect the buyer relationship), without prejudice to other remedies.
10. Indemnification
Seller will indemnify and hold harmless the Operator and the winning buyer against any claim arising from (a) Seller's breach of representations, (b) any defect in title, or (c) any third-party trademark or other claim relating to the Domain that predates the sale.
11. Settlement
Funds are settled exclusively through Escrow.com. Net proceeds (winning bid less Operator commission and Seller-side fees) are released to Seller after the Domain is confirmed transferred to the buyer.
12. Post-Auction Obligations
Seller will cooperate with reasonable post-transfer requests (e.g. release of authentication codes, push acceptance, registrar confirmations) until the buyer's ownership is fully established.
13. Confidentiality
Seller will hold confidential the identity of the buyer, the buyer's contact information, and any non-public auction data. The Operator will likewise treat Seller's non-public information as confidential.
14. Governing Law & Disputes
This Agreement is governed by the laws of the State of Delaware, USA. Disputes are subject to the dispute-resolution provisions of the Auction Terms.
